ANDOVER ANNOUNCES NEW BOARD MEMBER AND ADVISORY BOARD
August 28, 2006

AUGUST 28th, 2006, VANCOUVER, B.C. – ANDOVER VENTURES INC. (the “Company”) (AOX-TSX:V) is pleased to announce the following addition to it’s board and the following members of the company’s newly created Advisory Board.

David Hedderly-Smith has over thirty-five years of varied experience in the minerals exploration industry. Since the early 1970s he has been involved in Alaska’s mining industry as a staff exploration geologist for both major mining companies and junior exploration companies, a state regulator (three years as the Deputy Director for Minerals in Alaska’s Department of Natural Resources in the early 1980s), a consultant, and a property owner.

Since leaving Alaska’s government in 1984 Dr. Hedderly-Smith has worked throughout Alaska and the western U.S. as a consultant to major and junior mining and energy companies, to Alaskan native corporations and to governmental entities on base and precious metal, uranium, coal, tar sands and water projects. He obtained his M.S. in Geological Sciences from the University of Washington in 1975 and his Ph.D. in Geology/Geochemistry from the University of Utah in 1997.

Dr. Hedderly-Smith’s scientific passion is the understanding of generative processes involved in the formation of mineral deposits. He is based in Park City, Utah. His background with both the private and public sector of Alaska’s mineral industry and with Alaska’s native corporations make him an invaluable independent member of Andover Ventures Board of Directors.

The company further announces the resignation of Phil Taneda as a director of the company to pursue other opportunities. The company wishes to thank him for his service and wishes him well in his future endeavors.

The company also wishes to announce its newly formed Advisory Board consisting of:

David J. Lajack (B.S.,Central Michigan University) has worked in lode mineral exploration since the early 1980’s. In 1985 he founded a successful prospecting syndicate (Lajack and Associates), which still has active properties in Alaska. Mr. Lajack is a founding member and President of Royal Pretoria Gold Ltd., a private exploration company, incorporated in Alaska in August 2000. Mr. Lajack has worked as a consultant in the industry and has co-authored published papers on geology and geochemistry.

Mr. Gerald H. Rayner has over 40 years of experience in the mining industry and has practised his profession on every continent except Antarctica. The bulk of his time has been spent in Western North America including Mexico and Central America, in Australia and the South Pacific, in Indonesia and other parts of Asia, and in various South American countries. Mr. Rayner's primary areas of expertise lie in reconnaissance exploration and in the evaluation of mineral properties at the earlier stages of exploration and development. While with Kennecott, Mr. Rayner was in charge of exploration in Papua New Guinea in the South Pacific where efforts during this period resulted in the discovery of several porphyry copper deposits including the Ok Tedi Mine.

Mr. Wyatt G. Gilbert (Ph.D.,Stanford University) has worked in geology for nearly 40 years. He formerly served as the Deputy Director and Chief Mining Geologist for the Alaska Division of Geological and Geophysical Surveys, and taught geology as a Professor at the University of Alaska, Fairbanks. Dr.Gilbert has published numerous papers on Geology of Alaska and Arizona. He is also currently Chief Geologist for Royal Pretoria Gold Ltd.

Mr. John T. Duncan, (M.S. University of Arizona) is a geologist who began his career on the staff of the Arizona Geological Survey in Tucson, Arizona. In 1993, he resigned his position to join as a founding partner in Altar Resources and to serve as a consultant to the mineral industry. He now has over 10 years experience in exploration, development and mine geology in the Americas. Mr. Duncan has been a consultant for such companies as BHP, Cyprus Minerals, and for the last several years U.S. Borax. In addition to his Masters of Geology degree, he also holds a B.A. in Business Finance from the University of Texas.

Mike England, the president and chief executive officer, commented: “The addition of these key personnel brings to Andover a wealth of knowledge pertaining to mining and Alaska.”

Andover Ventures is currently drilling the Kamishak copper-gold Prospect in southwest Alaska. Initial results are anticipated by mid-September.
